Terms of Service

1-1Contracting Entity

These Terms constitute a legally binding agreement between you and Listifys, a company located at Listifys — Workafella Cyber Crown HiTech City, 7th Floor HUDA Techno Enclave Madhapur, Hyderabad Telangana 500081, India ("Listifys," "we," "us," or "our").

If you do not agree to these Terms, you must not access or use the Platform.

1-2Supplemental Policies

These Terms incorporate by reference our Privacy Policy, Cookie Policy, Community Guidelines, Prohibited Items Policy, Seller Policy, Buyer Policy, and other policies published in our Legal Center.

In the event of a conflict between these Terms and a supplemental policy addressing a specific subject matter, the supplemental policy controls for that subject matter unless we state otherwise.

1-3Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will provide notice through the Platform, by email, or by other reasonable means at least fifteen (15) days before the revised Terms take effect, except where immediate changes are required by law or to address security risks.

Your continued use of the Platform after the effective date of revised Terms constitutes acceptance. If you disagree with changes, you must stop using the Platform and may close your account.

2-1Minimum Age

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction if higher, to create an account or conduct transactions on the Platform.

Users between thirteen (13) and seventeen (17) may only browse public content with verified parental or guardian consent where permitted by applicable law. Such users may not list items, message other users, or complete purchases.

2-2Capacity and Authorization

By using the Platform, you represent that you have the legal capacity to enter into binding contracts and that you are not barred from using the Platform under applicable law.

If you register on behalf of a business, you represent that you are authorized to bind that entity and that all information provided about the business is accurate.

2-3Geographic Availability

Listifys is available to users in India. Certain features, payment methods, or categories may not be available in every region.

You are responsible for ensuring that your use of the Platform complies with local laws, including export controls, consumer protection rules, and marketplace regulations in your jurisdiction.

3-1Registration Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You may not impersonate another person, use a misleading username, or create multiple accounts to evade restrictions, manipulate reviews, or circumvent enforcement actions.

3-2Account Security

You are responsible for safeguarding your login credentials and for all activity that occurs under your account.

Notify us immediately at contact@listifys.com if you suspect unauthorized access. We are not liable for losses arising from your failure to maintain account security.

3-3Account Verification

We may require phone verification, email confirmation, or other account checks before you can list certain items, receive payouts, or access high-value categories.

Failure to complete required verification may result in limited functionality, listing removal, or account suspension as described in our Account Suspension & Termination Policy.

4-1No Agency or Partnership

Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and Listifys.

Sellers act independently. Listifys does not control pricing, item condition, fulfillment timing, or the legality of items offered by users except as necessary to enforce our policies.

4-2Transaction Responsibility

Contracts for the sale of goods or services are formed directly between buyers and sellers. Listifys is not a party to those contracts.

You acknowledge that Listifys does not take title to items listed on the Platform unless explicitly stated in a separate written agreement.

4-3India Intermediary Framework

For users in India, Listifys functions as an intermediary under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

We publish grievance and compliance contact details as required by Indian law. Reports may be sent to contact@listifys.com or through in-app reporting tools.

5-1User Listings

Sellers are solely responsible for the accuracy of listing titles, descriptions, photos, pricing, availability, and disclosures.

Listifys may remove, demote, or refuse to display listings that violate our policies, appear fraudulent, or pose safety or legal risks.

5-2Prohibited Conduct in Transactions

Users may not use the Platform to solicit off-platform payments intended to evade fees, bypass safety tools, or avoid recordkeeping.

Attempting to complete transactions for prohibited items, stolen goods, or items you do not have the right to sell is strictly forbidden.

• Misrepresenting item condition, ownership, or authenticity
• Bait-and-switch pricing or phantom inventory schemes
• Harassment, threats, or discriminatory refusal of lawful transactions
• Coordinated review manipulation or fake engagement

5-3Meetups and Shipping

Listifys is a marketplace platform only. We do not provide, arrange, manage, or guarantee shipping, delivery, packaging, carrier selection, tracking, insurance, or customs services.

When users choose local pickup or meetups, they assume responsibility for selecting safe public locations and complying with local safety guidance.

If buyers and sellers choose to arrange shipping or delivery outside the Platform, they do so independently and are solely responsible for packaging, carrier selection, payment of shipping costs, customs declarations, import/export compliance, and any loss, damage, or delay. Listifys is not a party to those arrangements.

6-1Platform Fees

Listifys may charge listing fees, promotion fees, transaction fees, or subscription fees as disclosed at checkout or in our Payment Terms.

Fees are quoted in the currency shown at the time of purchase and may vary by region, category, or payment method.

6-2Third-Party Payment Processors

Payments may be processed by third-party providers. Your use of those services may be subject to separate processor terms.

Listifys is not responsible for processor outages, chargebacks initiated by banks, or delays caused by payment networks, except where required by applicable consumer law.

6-3-inTaxes

Users are responsible for determining and remitting applicable taxes, including GST in India, unless Listifys is legally required to collect and remit tax on your behalf.

7-1Your Content

You retain ownership of content you submit, including listing photos, descriptions, and messages, subject to rights you grant to Listifys under these Terms.

You represent that you own or have permission to use all content you upload and that your content does not infringe third-party rights.

7-2License to Listifys

You grant Listifys a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, publicly display, distribute, and create derivative works from your content solely to operate, promote, and improve the Platform.

This license survives account termination only as needed for legal compliance, dispute resolution, backup integrity, and anonymized analytics.

7-3Listifys Intellectual Property

The Listifys name, logos, software, design elements, and documentation are protected by intellectual property laws. You may not copy, modify, reverse engineer, or exploit our brand assets without written permission.

Copyright and trademark complaints should be directed to contact@listifys.com pursuant to our DMCA Policy and Copyright & Intellectual Property Policy.

8-1Privacy Policy

Our collection and use of personal data is described in our Privacy Policy, which explains how we comply with the Digital Personal Data Protection Act, 2023 (India) and related rules.

By using the Platform, you acknowledge that you have read our Privacy Policy.

8-2Electronic Communications

You consent to receive transactional, security, and policy-related communications electronically, including email, push notifications, and in-app messages.

Marketing communications will be sent in accordance with applicable consent requirements and include opt-out mechanisms where required.

9-1Policy Enforcement

We may investigate reports of policy violations, fraud, or unsafe conduct. Enforcement actions may include warnings, content removal, feature restrictions, payout holds, or permanent account termination.

We are not obligated to monitor all activity but reserve the right to do so to protect users and comply with law.

9-2Termination by You

You may close your account at any time through account settings or by contacting contact@listifys.com.

Closing your account does not relieve you of obligations incurred before termination, including payment obligations, indemnities, or dispute resolution duties.

9-3Termination by Listifys

We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, created risk for other users, or if required by law enforcement or court order.

Where practicable, we will provide notice and an opportunity to appeal through our grievance process.

10-1Platform Provided "As Is"

To the fullest extent permitted by law, the Platform and all services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.

We do not warrant uninterrupted access, error-free operation, or that listings, users, or transaction outcomes will meet your expectations.

10-2Limitation of Liability

To the maximum extent permitted by applicable law, Listifys and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or business opportunities arising from your use of the Platform.

Our aggregate liability for claims arising out of or relating to these Terms or the Platform will not exceed the greater of (a) amounts you paid to Listifys in the twelve (12) months preceding the claim or (b) one hundred U.S. dollars (USD $100), except where such limitations are prohibited by law.

10-3Consumer Law Exceptions

Nothing in these Terms excludes liability that cannot be excluded under mandatory consumer protection laws in your country of residence in India.

11-1Indemnification

You agree to defend, indemnify, and hold harmless Listifys from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, listings, conduct, violation of these Terms, or infringement of third-party rights.

11-2Informal Resolution

Before initiating formal proceedings, you agree to contact contact@listifys.com and attempt to resolve disputes informally for at least thirty (30) days.

11-3-inGoverning Law and Venue (India)

For users in India, these Terms are governed by the laws of India, without regard to conflict-of-law principles, and without limiting any non-waivable rights you have under the Consumer Protection Act, 2019, the Information Technology Act, 2000, or other applicable Indian law.

Subject to those mandatory protections, courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over disputes with Listifys that are not resolved through the informal process in these Terms or another forum required by applicable Indian law, including consumer commissions where they have jurisdiction.

U.S. state law, including North Carolina law and Wake County venue, does not apply to users in India.

11-4-inConsumer and Representative Remedies (India)

Nothing in these Terms waives, limits, or requires you to give up any right to pursue a complaint, consumer dispute, or representative proceeding available under the Consumer Protection Act, 2019, or any other applicable Indian law.

U.S.-style class-action waivers do not apply to users in India. You may still contact Listifys first using the informal resolution process in these Terms. Statutory forums in India remain available where the law provides them.

12-1Assignment

You may not assign or transfer these Terms without our prior written consent. Listifys may assign these Terms in connection with a merger, acquisition, or sale of assets with notice to users.

12-2Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

12-3Entire Agreement

These Terms, together with incorporated policies, constitute the entire agreement between you and Listifys regarding the Platform and supersede prior understandings on the same subject matter.
